Terms of Use

These Terms of Use ("Terms") govern your access to and use of UGC Studio (the "Service"), operated by makeugcstudio ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

UGC Studio helps you turn an ecommerce product page into user-generated-content (UGC) video assets — AI-generated avatar images, scripts, and video-generation prompts, with optional video rendering. The Service relies on third-party AI providers, and for generation features you must supply your own valid API key. You are responsible for any costs billed to you directly by those providers.

2. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old. One person or entity may not maintain multiple free accounts to circumvent usage limits.

3. Acceptable Use

You agree not to use the Service to:

• infringe intellectual-property, publicity, or privacy rights of others;
• submit product URLs, images, or content you do not have the right to use;
• create misleading, deceptive, defamatory, or unlawful content;
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.

You are solely responsible for how you use the generated assets, including compliance with advertising, disclosure, and platform rules where you publish them.

4. Your Content and Ownership

You retain ownership of the inputs you provide and, to the extent permitted by the underlying AI providers, of the assets generated for you. You grant us a limited license to process your inputs solely to operate the Service. We retain all rights in the Service itself, including its software and design.

5. Third-Party Services

The Service integrates third parties including AI model providers, hosting, database, and payment processors. Your use of those features may be subject to their terms, and we are not responsible for their availability, output, or billing.

6. Subscriptions and Billing

Paid plans are billed on a recurring basis through our payment processor. Charges, renewals, and cancellations are described in our Cancellation & Refund Policy. Generation costs charged to you by third-party AI providers are separate and non-refundable by us.

7. Disclaimers

The Service and all AI-generated output are provided "as is" and "as available", without warranties of any kind. AI output can be inaccurate or unsuitable; you are responsible for reviewing it before use. We do not guarantee any particular results, performance, or uptime.

8. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages, or for any loss of data, revenue, or profits. Our total liability for any claim will not exceed the amount you paid us for the Service in the three months before the claim.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or use the Service unlawfully.

10. Changes

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts located there.
